1. Introduction and Acceptance

These Seller Terms and Conditions ("Seller Terms") govern the registration and use of the Winga seller dashboard, seller mobile application, and related services (collectively, the "Seller Platform") by individuals and businesses ("Seller," "you," or "your") who list and sell Products to Buyers through Winga, operated by [Insert Company Legal Name] ("Winga," "we," "us," or "our").

By registering as a Seller, activating your storefront, or listing any Product on Winga, you agree to be bound by these Seller Terms, Winga's general Terms and Conditions, the Seller Privacy Policy, and any operational policies issued by Winga from time to time (including category-specific listing guidelines). If you do not agree, you must not register as or continue operating as a Seller on the Platform.


2. Definitions

3.1 To register as a Seller, you must be at least 18 years old and have the legal capacity to enter into binding agreements under the laws of Tanzania, whether as an individual trader or on behalf of a registered business entity.

3.3 Winga reserves the right to verify any information provided, request additional documentation, and approve, reject, or suspend any Seller registration at its sole discretion, including where verification cannot be completed to Winga's reasonable satisfaction.

3.4 You are responsible for keeping your registration information, including tax and licensing details, current and valid throughout your use of the Seller Platform.


4. Your Storefront and Product Listings

4.1 You are solely responsible for the content of your Storefront and all Product listings, including titles, descriptions, images, pricing, stock levels, and category placement.

4.3 Winga reserves the right to edit, suspend, remove, or de-list any Product listing that violates these Seller Terms, applicable law, or Winga's listing guidelines, with or without prior notice where urgency requires.


5. Order Fulfilment Obligations

5.1 Processing Time — You must process and dispatch confirmed Orders within the processing time stated on your Product listings, which must not exceed [Insert Number, e.g., 2] business days unless the listing clearly states a longer custom/made-to-order timeframe.

5.2 Accuracy — You must ensure that the Product dispatched matches the Order exactly in terms of item, variant (size/colour), and quantity.

5.3 Packaging — Products must be packaged securely and appropriately for transport to avoid damage during delivery.

5.4 Stock Accuracy — You must keep stock levels updated in real time. Repeated cancellations due to "out of stock" Orders may result in penalties under Section 12.

5.5 Handover to Delivery — You must make Orders available for collection by Winga's Delivery Partners, your own delivery staff, or hand over to the designated Mtaa Agent pickup point within the agreed timeframe.


6. Pricing and Promotions

6.1 You retain full control over the pricing of your Products, subject to Section 6.2 and Section 9 (Group Buying).

6.2 You must not engage in deceptive pricing practices, including artificially inflating a "original price" to make a discount appear larger than it genuinely is, in violation of the Fair Competition Act, 2003.

6.3 Any promotional pricing, discounts, vouchers, or Group Buying deals must be honoured for all Buyers who complete a qualifying purchase under the terms displayed at the time of purchase.


7. Commission, Fees, and Payouts

7.1 Commission — Winga charges a Commission of [Insert Percentage]% of the sale price (excluding delivery charges, unless otherwise stated) on each completed Order, deducted before Payout. Commission rates may vary by product category and will be displayed in your Seller dashboard.

7.2 Other Fees — Additional fees may apply for optional services, including but not limited to featured listing placements, Live Shopping promotion slots, and payment gateway processing fees for non-mobile-money transactions. All applicable fees will be disclosed in your Seller dashboard before you opt in.

7.3 Payout Schedule — Payouts for completed Orders (i.e., Orders that have been delivered and for which the applicable return window has passed without a return request) will be made to your registered mobile money account or bank account on a  weekly basis.

7.4 Holds and Adjustments — Winga may withhold or adjust Payouts in connection with: pending return or refund requests, disputed Orders under investigation, Cash on Delivery reconciliation, or suspected fraudulent activity.

7.5 Taxes — You are solely responsible for determining, collecting (where applicable), reporting, and remitting any taxes due on your sales, including Value Added Tax (VAT) and income tax, to the Tanzania Revenue Authority (TRA). Winga may, where required by law, report Seller transaction data to the TRA.

7.6 Fee Changes — Winga reserves the right to modify Commission rates and fees with at least  30 days' notice via the Seller dashboard or email. Continued listing of Products after such changes take effect constitutes acceptance of the revised fees.


8. Live Shopping Sessions

8.1 Sellers may apply to host Live Shopping Sessions to showcase Products via live video broadcast within the Platform.

8.2 During a Live Shopping Session, you must:

8.3 Orders placed during a Live Shopping Session are subject to the same fulfilment, Commission, and return terms as any other Order under these Seller Terms.

8.4 Winga reserves the right to end any Live Shopping Session immediately, without notice, if content violates these Seller Terms, Winga's general Terms and Conditions, or applicable Tanzanian law (including the Cybercrimes Act, 2015).


9. Group Buying ("Nunua Pamoja") Deals

9.1 Sellers may create Group Buying Deals offering a discounted "group price" that becomes active only if a minimum number of Buyers ("Minimum Buyers") commit within a stated time window.

9.2 All Group Buying Deals are subject to Winga's review and approval before becoming visible to Buyers. Winga may reject or request modification of any proposed deal, including where the discount offered is commercially unreasonable or where stock levels are insufficient to fulfil the potential demand.

9.3 Once a Group Buying Deal is approved and live, you must honour the group price for every Buyer whose commitment is converted into an Order upon the deal being filled, regardless of how many Buyers ultimately participate (subject to any "maximum buyers" cap you set at creation).

9.4 You must ensure sufficient stock is available to fulfil all Orders generated if the Minimum Buyers threshold (or any "maximum buyers" cap) is reached. Failure to fulfil Orders from a filled Group Buying Deal due to insufficient stock will be treated as a fulfilment failure under Section 12 and may result in penalties, including covering reasonable compensation to affected Buyers at Winga's discretion.

9.5 You may cancel a Group Buying Deal only while it has the status "pending approval" or "active" and has not yet been filled. Deals that have already been filled (i.e., the Minimum Buyers threshold has been reached and Orders are being processed) cannot be cancelled.


10. AI Personal Shopper

10.1 Your Products may be surfaced to Buyers through Winga's AI Personal Shopper feature based on Buyer queries, product data, pricing, stock status, and ratings. Inclusion in AI-generated recommendations is automatic and does not incur an additional fee.

10.2 You acknowledge that recommendations are generated algorithmically based on the accuracy of your Product data (title, description, category, price, stock). Inaccurate or incomplete Product information may result in your Products being recommended inappropriately or not being recommended at all. Winga is not liable for any loss arising from how your Products are surfaced through this feature.


11. Returns, Refunds, and Cancellations

11.1 You must comply with Winga's general Return & Refund Policy and any category-specific return windows you have configured (which must not provide less protection to Buyers than Winga's minimum standards).

11.2 Where a return is due to your error (wrong item shipped, defective Product, inaccurate listing, or failure to disclose a Product defect), you are responsible for the cost of return shipping and any applicable refund, including original delivery charges.

11.3 You must respond to return and refund requests within [Insert Number, e.g., 2] business days. Failure to respond within this timeframe may result in Winga approving the return/refund on your behalf and deducting the relevant amount from your next Payout.


12. Performance Standards and Penalties

12.1 Winga monitors Seller performance based on metrics including:

12.2 Sellers who fall below minimum performance thresholds (as published in the Seller dashboard) may be subject to:

12.3 Winga will provide reasonable notice and an opportunity to remedy performance issues before applying suspension, except in cases of suspected fraud, counterfeit goods, or violations posing risk to Buyers, where immediate action may be taken.


13. Prohibited Conduct

In addition to the prohibited conduct described in Winga's general Terms and Conditions, Sellers must not:

Violation of this Section may result in immediate suspension or termination of your Seller account, forfeiture of pending Payouts to cover any resulting losses or refunds owed to Buyers, and reporting to relevant Tanzanian authorities where required by law.


14. Intellectual Property

You retain ownership of the content you upload (Product images, descriptions, Storefront branding), but grant Winga a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, and distribute such content for the purposes of operating the Platform, including in marketing materials, Live Shopping promotions, and AI-generated recommendations.

You warrant that you own or have the necessary rights and permissions to use all content you upload, and that such content does not infringe any third party's intellectual property rights under the Copyright and Neighbouring Rights Act or other applicable Tanzanian law.


15. Confidentiality

You agree to keep confidential any non-public information shared with you by Winga, including Buyer personal data (subject to your obligations under the Seller Privacy Policy), Platform performance data, and any business or technical information marked as confidential.


16. Suspension and Termination

16.1 Winga may suspend or terminate your Seller account, with or without notice, for violations of these Seller Terms, applicable law, repeated performance failures under Section 12, or where reasonably necessary to protect Buyers or the integrity of the Platform.

16.2 You may close your Seller account voluntarily by providing 14 days' notice through the Seller dashboard, provided all pending Orders are fulfilled and any outstanding Payouts, deductions, or disputes are resolved.

16.3 Upon termination, any active Live Shopping Sessions will be ended and any active Group Buying Deals will be cancelled, with affected Buyers notified in accordance with Winga's general Terms and Conditions.


17. Limitation of Liability and Indemnification

17.1 To the maximum extent permitted by Tanzanian law, Winga shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of the Seller Platform, including loss of sales, profits, or data.

17.2 You agree to indemnify and hold harmless Winga, its directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: your breach of these Seller Terms; inaccurate Product listings; your failure to fulfil Orders; your violation of any applicable law (including tax, consumer protection, and data protection law); or your infringement of any third party's rights.


18. Dispute Resolution and Governing Law

18.1 These Seller Terms are governed by the laws of the United Republic of Tanzania.

18.2 Disputes between you and Winga shall first be addressed through Winga's seller support channels. Disputes between you and a Buyer shall be handled in accordance with Winga's dispute resolution process described in the general Terms and Conditions.

18.3 If a dispute between you and Winga cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts of the United Republic of Tanzania.


19. Changes to These Seller Terms

Winga may update these Seller Terms from time to time to reflect changes in our services, fee structures, or applicable law. Material changes will be communicated through the Seller dashboard or via email, with reasonable notice as described in Section 7.6 for fee changes. Continued use of the Seller Platform after such changes take effect constitutes acceptance of the revised Seller Terms.
