These Terms and Conditions ("Terms") govern your access to and use of the Winga mobile application, website, and related services (collectively, the "Platform"), operated by [Insert Company Legal Name] ("Winga," "we," "us," or "our"), a company registered in the United Republic of Tanzania under registration number [Insert Registration Number].
By downloading, accessing, or using the Platform, registering for an account, or placing an order, you ("you," "your," or "User") agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you must not use the Platform.
Winga operates as an online marketplace that connects independent Sellers with Buyers across the United Republic of Tanzania. Unless explicitly stated otherwise (for example, where Winga sells its own branded products), Winga is not the seller of record for Products listed by third-party Sellers. Winga facilitates the transaction, payment processing, and logistics, but the contract of sale for any Product is between the Buyer and the Seller.
Winga does not manufacture, store (except where fulfilment centres are used), or take ownership of Products listed by third-party Sellers, and is not responsible for the accuracy of product listings except to the extent required by the Fair Competition Act, 2003, and other applicable consumer protection laws of Tanzania.
4.1 You must be at least 18 years old to register an account and place Orders on the Platform. If you are under 18, you may only use the Platform under the supervision of a parent or legal guardian who agrees to these Terms.
4.2 You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
4.3 Winga reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or are used for fraudulent activity.
Sellers registering on the Platform agree to:
Winga reserves the right to review, approve, reject, suspend, or remove any Seller account or Product listing at its sole discretion, including listings submitted for Group Buying deals or Live Shopping sessions.
6.1 Pricing — All prices displayed on the Platform are in Tanzanian Shillings (TZS) and are set by individual Sellers unless otherwise indicated. Prices may include or exclude delivery charges, which will be clearly displayed before checkout.
6.2 Order Confirmation — An Order is only confirmed once payment has been successfully processed (or, where Cash on Delivery is offered, once the Order is accepted by the Seller). Winga reserves the right to cancel any Order due to stock unavailability, pricing errors, or suspected fraud, in which case any payment made will be refunded in accordance with Section 9.
6.3 Payment Methods — Payments may be made via mobile money services (including M-Pesa, Tigo Pesa, Airtel Money, and HaloPesa), bank transfer, debit/credit card through licensed payment gateways, or Cash on Delivery where available. By providing payment information, you authorise Winga and its licensed payment partners to charge the applicable amount for your Order.
6.4 Taxes — All applicable taxes, including Value Added Tax (VAT) where chargeable under the VAT Act, are the responsibility of the relevant Seller unless otherwise stated.
7.1 Group Buying deals allow multiple Buyers to commit to purchasing a Product at a discounted "group price," which is only charged if the minimum number of buyers ("Minimum Buyers") is reached within the deal's stated time limit.
7.2 When you join a Group Buying deal, you are making a commitment to purchase, not an immediate payment. You will only be charged if the Minimum Buyers threshold is reached before the deal expires.
7.3 If the Minimum Buyers threshold is not reached before expiry, the deal is automatically cancelled, no payment will be taken, and your commitment is void. Winga is not liable for any inconvenience caused by an unfilled Group Buying deal.
7.4 Once a Group Buying deal is filled and payment is processed, standard Order, delivery, and return terms under these Terms apply to each individual Order generated from that deal.
7.5 You may cancel your commitment to a Group Buying deal at any time before the deal is filled, by using the "Cancel Commitment" option in the app. Commitments cannot be cancelled once the deal has been filled and payment processed.
The following are strictly prohibited on the Platform:
Violation of this Section may result in immediate suspension or termination of your account, removal of listings, withholding of funds (for Sellers), and reporting to relevant Tanzanian authorities where required by law.
9.1 Buyers may cancel an Order before it has been dispatched by the Seller, subject to the specific return policy of the relevant Seller, which will be displayed on the Product page.
9.2 Where a Product received is materially different from its description, defective, or damaged, Buyers may request a return or refund in accordance with the Seller's stated return policy and applicable consumer protection law, including the Sale of Goods Act (Cap. 214) and the Fair Competition Act, 2003.
9.3 Refunds for cancelled or returned Orders will be processed to the original payment method (mobile money account, card, or bank account) within a reasonable timeframe, typically [Insert Number] business days, subject to verification.
9.4 Winga reserves the right to mediate disputes between Buyers and Sellers regarding returns and refunds but is not a guarantor of any Seller's return policy beyond what is required by Tanzanian law.
10.1 Delivery timeframes displayed on the Platform are estimates and may vary based on location, Seller processing times, and circumstances beyond Winga's control (including weather, road conditions, and regional logistics availability).
10.2 Buyers must provide accurate delivery information, including area, ward, and landmark details. Winga and its Delivery Partners are not responsible for failed deliveries resulting from incorrect or incomplete address information provided by the Buyer.
10.3 Where "Mtaa Agent" pickup points are used for Group Buying or other delivery options, Buyers are responsible for collecting their Order from the designated pickup point within the timeframe communicated. Winga reserves the right to charge a reasonable storage fee or return the Product to the Seller if not collected within the stated period.
11.1 Live Shopping sessions are broadcast by Sellers to showcase Products in real time. Products purchased during a Live Shopping session are subject to the same Order, payment, delivery, and return terms as any other Order on the Platform.
11.2 Comments posted during Live Shopping sessions are publicly visible to other viewers. You agree not to post comments that violate Section 8 of these Terms. Winga reserves the right to remove comments and restrict users who violate this provision.
11.3 Winga does not guarantee the availability, quality, or continuity of any live stream and is not liable for technical interruptions to Live Shopping sessions.
12.1 The AI Personal Shopper feature provides automated product recommendations based on your messages and stated preferences. Recommendations are generated using artificial intelligence and are provided for convenience only.
12.2 Winga does not guarantee that AI-generated recommendations will be accurate, complete, or suited to your specific needs. You should review full Product details, pricing, and Seller information before completing any purchase based on an AI recommendation.
12.3 Conversations with the AI Personal Shopper are processed in accordance with our Privacy Policy.
All content on the Platform, including the Winga name, logo, app design, software, and underlying technology, is the property of [Insert Company Legal Name] or its licensors and is protected under the Copyright and Neighbouring Rights Act and other applicable Tanzanian intellectual property laws. Product images, descriptions, and brand content uploaded by Sellers remain the property of the respective Seller or rights holder, who warrants they have the right to use such content.
14.1 To the maximum extent permitted by Tanzanian law, Winga shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of profits, data, or goodwill.
14.2 Winga's total liability for any claim arising from your use of the Platform shall not exceed the total amount paid by you for the Order giving rise to the claim.
14.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Tanzanian law, including liability for death, personal injury, or fraud.
You agree to indemnify and hold harmless Winga, its directors, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your infringement of any third-party rights.
Winga reserves the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other Users, Sellers, or the integrity of the Platform. You may also close your account at any time by contacting customer support.
17.1 These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.
17.2 Any dispute arising out of or in connection with these Terms, including disputes between Buyers and Sellers facilitated through the Platform, shall first be addressed through Winga's customer support and internal resolution process.
17.3 If a dispute cannot be resolved amicably, it shall be subject to the exclusive jurisdiction of the courts of the United Republic of Tanzania.
Winga may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. We will notify Users of material changes through the app or via email. Continued use of the Platform after such changes take effect constitutes your acceptance of the revised Terms.
